Oil and Gas

Ulhôa Canto provides legal counsel in all the stages of the oil and natural gas productive chain. Based on our pioneering practice in the sector, which goes back to the first risk agreements entered into by Petrobras and private enterprise, we have acquired expertise in the tax, contractual, and regulatory aspects of the industry, which contributed decisively in project preparation and development. In the oil and gas sector, our practice includes, among others:

  • Legal counsel in regulatory, tax, and corporate issues specific to the sector;
  • Structuring of project finance transactions in order to exploit onshore and offshore oil blocks;
  • Structuring of farm-in and farm-out transactions;
  • Examination of fiscal issues, predominantly involving the regime aduaneiro especial de exportação e importação de bens destinados à exploração e produção de petróleo e gás natural (REPETRO);
  • Assistance in the structuring of transactions such as the transportation, storage, import and export of oil, natural gas and biofulls, as well as for the obtation of authorizations before Agência Nacional do Petróleo, Gás Natural e Biocombustíveis (ANP), Instituto Brasileiro do Meio Ambiente e dos Recursos Naturais Renováveis (IBAMA), and other competent governmental bodies;
  • Drafting and negotiation of agreements for the incorporation of consortiums, leasing of vessels, imports, transportation and distribution of natural gas, turnkey transactions, analysis of geophysical data, purchase and sale of oil and gas, construction and funding of oil and gas pipelines, oil pipelines vessels, and other infrastructure facilities; and
  • Administrative and court proceedings.
